Valberedningen f\u00f6rbereder och l\u00e4gger fram f\u00f6rslag till beslut p\u00e5 \u00e5rsst\u00e4mma.
\nVid \u00e5rsst\u00e4mman den 29 april 2025 gavs styrelsens ordf\u00f6rande i uppdrag att kontakta de r\u00f6stm\u00e4ssigt st\u00f6rsta aktie\u00e4garna per sista december 2024 och be dessa att utse ledam\u00f6ter till en valberedning tillsammans med CEO, Karl Kristian Bergman Jensen. Valberedningen best\u00e5r av fira ledam\u00f6ter.<\/p>\n

Med tanke p\u00e5 New Nordics \u00e4garstruktur \u00e4r Karl Kristian Bergman Jensen i sin egenskap av f\u00f6retr\u00e4dare f\u00f6r huvudaktie\u00e4garen, Vaccinium Holding ApS, det naturliga valet att vara ordf\u00f6rande i New Nordics valberedning. Detta avviker fr\u00e5n avsnitt 2.4 i Svensk kod f\u00f6r bolagsstyrning.<\/p>\n

Det ankommer p\u00e5 valberedningen att inf\u00f6r bolagsst\u00e4mma ta st\u00e4llning till huruvida valberedningen finner det p\u00e5kallat att till \u00e5rsst\u00e4mma f\u00f6resl\u00e5 \u00e4ndring av ifr\u00e5gavarande principer.<\/p>\n

Valberednings huvudsakliga uppgift \u00e4r att f\u00f6resl\u00e5 styrelseledam\u00f6ter, styrelseordf\u00f6rande och revisorer samt arvoden till dessa p\u00e5 ett s\u00e4tt s\u00e5 att \u00e5rsst\u00e4mman kan fatta v\u00e4lgrundade beslut. Valberedningens mandatperiod str\u00e4cker sig fram till dess att ny valberedning utsetts. Arvode f\u00f6r arbete i valberedningen utg\u00e5r ej.<\/p>\n
